By creating an account or using any part of the Service, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

AssistAI is an AI assistant platform that allows users to:

• Create and configure AI assistants powered by large language models
• Upload documents and websites to create knowledge bases
• Embed AI chat widgets on external websites
• Access conversation history and usage analytics

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and accept responsibility for all activity under your account
• Promptly notify us of any unauthorized use of your account
• Not share your account credentials with others

We reserve the right to terminate accounts that violate these Terms or are inactive for extended periods.

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, or defamatory
• Infringe intellectual property rights of any party
• Upload or transmit malware, viruses, or any malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools to scrape, crawl, or extract data from the Service
• Resell or redistribute access to the Service without explicit written permission
• Violate any applicable laws or regulations
• Generate spam or unsolicited communications

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

The Service uses third-party AI language models to generate responses. You acknowledge that:

• AI-generated content may be inaccurate, incomplete, or misleading — always verify important information
• We do not guarantee the accuracy, reliability, or suitability of AI responses for any particular purpose
• You are responsible for how you use AI-generated content
• AI responses do not constitute professional advice (legal, medical, financial, etc.)

You retain ownership of the content you input into the Service. By submitting content, you grant us a limited license to process it for the purpose of providing the Service.

When you upload documents or crawl websites to create knowledge bases, you represent and warrant that:

• You have the right to upload and process the content
• The content does not violate any third-party intellectual property rights
• You have obtained necessary permissions to crawl and index third-party websites

We are not responsible for content you upload. You indemnify us against any claims arising from your uploaded content.

The Service offers multiple subscription tiers (Free, Pro, Business). By subscribing to a paid plan:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time; cancellation takes effect at the end of the billing period
• We do not offer refunds for partial months of service, except where required by applicable law
• We reserve the right to modify pricing with 30 days' advance notice

Free tier usage is subject to rate limits and may be modified or discontinued at any time.

The Service, including its original content, features, and functionality, is owned by AssistAI and is protected by copyright, trademark, and other intellectual property laws.

You retain all rights to content you create and upload. We do not claim ownership over your data or AI-generated outputs produced through your use of the Service.

The Service integrates with third-party providers including AI model providers (Google, Anthropic, OpenAI via OpenRouter), database infrastructure (Supabase), and hosting (Vercel). Your use of these integrations is subject to the respective providers' terms of service.

We are not responsible for the availability, accuracy, or conduct of third-party services.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of AI-generated content

To the fullest extent permitted by law, AssistAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from:

• Your use of or inability to use the Service
• Errors or inaccuracies in AI-generated content
• Unauthorized access to your account or data
• Actions of third-party service providers

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to defend, indemnify, and hold harmless AssistAI and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your uploaded content or knowledge base data
• Your violation of any third-party rights

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay applicable fees

Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination. After that period, your data will be deleted per our Privacy Policy.

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation before resorting to formal legal proceedings.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
